Welcome to Filter!

These are Filter’s Terms of Use and they apply to all users of the Filter platform. “We,” “our” and “us” refer to Filter, Inc. “Filter” refers to this platform and the services offered by us, including the Filter iOS app, the Filter Android app, www.filte.li, and Filter’s other websites. By using Filter, you agree to these terms and to the other policies we post, including the Privacy Policy, Community Guidelines and Benefit Guidelines. Please read them carefully and let us know if you have any questions. For information about our data practices, please see our Privacy Policy and our Cookie Policy. We collect, use and share information in accordance with those policies.

Your account

When you create an account, you must provide us with accurate information, in good faith and you agree to keep your information updated if it changes. To create an account or otherwise use Filter, you must be at least 13 years old and you must also be old enough to consent to the processing of your personal data in your country (in some countries we may allow your parent or guardian to do so on your behalf). You must be at least 18 years old or have your parent’s or legal guardian’s permission to have a creator page on Filter or to purchase an offering or subscription on Filter. You are responsible for anything that occurs when anyone is signed in to your account, as well as the security of the account. Please contact us immediately if you believe your account is compromised.

Abusive conduct

You are responsible for all activity on your account. If you violate our terms or policies, then we may terminate your account. Don’t do anything illegal, abusive towards others, that abuses Filter in a technical way or that exploits Filter in an unintended manner that is detrimental to us, like using Filter as a storage platform. If you are an influencer earning money on Filter, we may be exposed to risk based on what you do with those funds. As a result, we may also look at what you do outside of Filter. If you find a new and creative way to hurt Filter or our community, we may take action to prevent it.

Influencers Page

To become an influencer, simply launch your page to start your membership. When you join Filter, you become part of the Filter community. You can use influencer tools that we provide to Filters, among other things, showcase your creations, engage with the Filter community.

Memberships are for your most passionate fans. In turn, you will receive loyal support from your followers and revenue from memberships that followers have purchased on Filter.

Followers Page

To become a follower, simply purchase a paid subscription on Filter. Subject to these terms and full payment of all applicable charges, to the extent a subscription includes access to one or more of a influencers’s creations, you receive a non-exclusive, non-transferable, non-sublicensable, revocable, limited licence to access and view those creations for your own private, personal, non-promotional, non-commercial use. Creations you gain access to can be added to your own page.

Subscriptions

Filter Subscriptions are offered at different monthly price points and each Filter subscription's monthly price is selected by that Filter subscription's Creator.

The price of your Filter subscription will be disclosed to you at the time of your purchase.

We reserve the right to change the Filter subscription price or Filter subscription period from time to time (or to enable Influencers to do the same). We may disable auto-renewal for some or all Filter Subscriptions in our sole discretion. We will provide you with notice of any such changes and they will apply to you no earlier than your next renewal.

When you purchase a Filter’s subscription through a Third-Party Platform Provider, you will be charged for that purchase by the Third-Party Platform Provider in accordance with the terms disclosed to you at the time of purchase and all terms applicable to your use of that Third-Party Platform Provider.

Your Filter Subscription will automatically renew monthly in accordance with the policies of your

Third-Party Platform Provider. To cancel your Filter Subscription, you may visit either the Creator's profile or the "Subscriptions" tabs in your Settings, both of which will connect you to the subscription management features of your Third-Party Platform Provider. You may also cancel your Filter Subscription directly through the Third-Party Platform Provider. For some Third-Party Platform Providers, you may need to cancel your Filter Subscription 24 hours before the end of the current subscription period to prevent the FIlter Subscription from being automatically renewed.

When you purchase a Filter Subscription, you agree:

(a) we will provide you with access to your Filter Subscription immediately; and (b) you waive any statutory right you might have to change your mind about your Filter Subscription and receive a refund within the applicable cooling off period. Because you agree to access the Filter Subscription immediately and waive your statutory right to change your mind in the cooling off period, you cannot exercise your statutory right to cancel and receive a refund within the cooling off period. By starting a Filter Subscription, you understand that the Creator to whose Filter Subscription you have subscribed can receive information about your engagement with the Creator's Filter Subscription as set out in our Privacy Policy.

You agree and understand that Filter does not have any editorial control over, nor responsibility for, any Filter Subscription Content. Use of Filter Subscriptions is at your sole discretion.

Continued use of Filter Subscriptions requires an active Filter account. If you delete your FIlter account, you will lose access to any content obtained through Filter Subscriptions. Your purchase may also be subject to additional terms for the Third-Party Platform Provider you use.

We reserve the right to update these Filter Subscription Fan Terms from time to time and your continued use of Filter Subscriptions constitutes acceptance of those changes. If any change to these Filter Subscription Fan Terms will materially disadvantage you, or materially affect the availability of the Filter Subscription, we will provide you with notice before the changes become effective and you can choose to cancel your Filter Subscription. Your continued use of FIlter Subscriptions constitutes acceptance of those changes.

You also acknowledge that either we or any Influencer may change the features or content available to you as part of your Filter Subscription(s) from time to time, including during a billing period. If you do not wish to continue your Filter Subscription as a result of any such change then you should cancel it before you are committed to the next billing period. Your continued use of Filter Subscriptions and/or renewal for a further billing period constitutes acceptance of those changes.

To ensure Filter remains a safe and welcoming community for everyone, we maintain strict content guidelines. Sharing sexually explicit content, nudity, or any adult-oriented material is strictly prohibited on our platform. By using Filter as a creator, you agree not to post or share any content that includes sexually explicit material, nudity, or otherwise violates our community standards. Additionally, you agree to prioritize creating content that respects the diverse audience of Filter and aligns with our community's values. We reserve the right to review any reported or flagged content and take appropriate action, including removal of content or suspension of accounts, if these guidelines are violated. Fees

As an influencer, there are fees associated with your offerings and paid memberships on Filter. The general nature of these fees is summarised below, but the most current information is found in our FAQ. These fees may increase with notice to you, including whether you choose to use FIlter’s paid membership service, free membership service:

• The platform fee, which may include a flat fee and/or is calculated as a percentage of successfully processed payments.;

• Feature-specific fees, which may arise from the use of particular Filter’s features and may include a flat fee and/or are calculated as a percentage of successfully processed payments;

• The payment processing fee, which is calculated as a percentage of successfully processed payments and a flat fee per successfully processed payment and relates to the cost of processing payments from subscribers, including recurring billing, recovering declined payments and fighting fraud;

• The payout fee, which is a fee for transferring money you’ve earned on Filter to your specified payout method and may vary based on your specified payout method;

• The currency conversion fee, which is calculated as a percentage of successfully processed payments made in a currency other than your payout currency.

Account deletion

You can permanently delete your account at any time by going to our Account Setting.

We can terminate or suspend your account at any time at our sole discretion. We can also cancel any membership subscriptions and remove any descriptions, posts or benefits at our sole discretion. You may not bring a claim against us for suspending or terminating another person’s account and you agree you will not bring such a claim. If you try to bring such a claim, you are responsible for the damages caused, including solicitors’ fees and costs. These terms remain in effect even if you no longer have an account.

Your creations

Influencers keep full ownership of their creations and followers keep full ownership of what they post on Filter, but we need licences from you for this material in order to operate Filter’s services effectively. By making creations available on Filter or otherwise posting on Filter, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license covering your creation or what you post in all formats and channels now known or later developed anywhere in the world to use, copy, reproduce, store, translate, transmit, distribute, perform, prepare derivative works, publicly display and display in connection with any name, username, voice or likeness provided in connection with it. If your creations contain any personal data, you also recognise Filter’s “legitimate interest” in it in accordance with the scope of this licence.

This sounds like a lot, but it’s important for us to operate our services, including hosting creations, providing and promoting memberships to your followers. For clarity, you keep full ownership over your creations and what you post on Filter; we are not buying your intellectual property rights or leasing them from you for our gain. We will never try to steal your creations, use them in an exploitative way or seek to profit off of them by any means other than facilitating memberships and offerings you’ve configured on Filter.

You agree not to make available creations or otherwise make posts on Filter that infringe others’ intellectual property or proprietary rights. Filter reserves the right to remove creations and other material that violate Filter’s terms and policies, including these Terms of Use. We respond to complaint notifications of claimed copyright infringement and have adopted and reasonably implemented a policy for terminating, in appropriate circumstances, the accounts of creators and patrons who are the subject of repeated compliant notifications of claimed copyright infringement or other evidence that suggests a pattern of repeat infringement.

Followers may not use creations posted by influencers in any way not authorised by the influencer, including sharing those creations with others who have not purchased the offering or subscription through which those creations were made available.

Indemnity

You will indemnify us from all losses and liabilities, including legal fees, that arise from these terms or relate to your use of Filter. We reserve the right to exclusive control over the defence of a claim covered by this clause. If we use this right, then you will help us in our defence. Your obligation to indemnify under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents and third-party service providers.
